1. Definitions

In these Terms:

• "Hiring Manager" means any person, company or organisation using the Platform to search for, contact or engage Tradespeople.
• "Tradesperson" means any individual or business using the Platform to advertise or offer trade-related services (for example builders, electricians, plumbers, etc.).
• "User", "you" and "your" means any person or entity who accesses or uses the Platform in any capacity, including both Hiring Managers and Tradespeople.
• "Content" means any information, text, images, profiles, reviews, job descriptions or other materials uploaded, posted or transmitted through the Platform.

Unless the context requires otherwise, words in the singular include the plural and vice versa.

2. About the Platform and Our Role

• The Platform is an online venue that allows Hiring Managers and Tradespeople to find and contact each other. TradeFinder does not employ Tradespeople; does not act as an employer of Hiring Managers or Tradespeople; and is not a party to any contract, agreement or arrangement between Hiring Managers and Tradespeople.
• We do not introduce or recommend specific Tradespeople to specific Hiring Managers, nor do we guarantee that any Hiring Manager will engage a Tradesperson or that any Tradesperson will be offered work.
• Any engagement, contract, booking or other arrangement is solely between the Hiring Manager and the Tradesperson. The terms of that relationship (including pay, scope of work, working hours, insurance and liability between them) are for the Hiring Manager and Tradesperson to agree directly.
• You are responsible for ensuring your own compliance with all applicable laws, including (where relevant) employment, tax, health and safety, immigration and regulatory requirements.

3. No Responsibility for Vetting, Checks or Suitability

TradeFinder does not carry out any of the following (unless expressly stated in writing in respect of a specific service):

• identity checks;
• right to work or immigration checks;
• criminal record checks;
• qualification, licence, certification or professional membership checks;
• checks of experience, references, employment history or competence;
• checks regarding insurance cover (including public liability, professional indemnity or employer's liability).

We do not verify, endorse or guarantee:

• the accuracy, completeness or truth of any profiles, adverts, reviews, ratings or other Content provided by Users;
• the suitability, skill, reliability, conduct or performance of any Tradesperson;
• the suitability, reliability, solvency or bona fides of any Hiring Manager.

You acknowledge, user information is self-declared and that any reliance you place on information obtained through the Platform is entirely at your own risk. You must carry out your own independent checks and due diligence before meeting, engaging or allowing anyone to carry out work.

4. No Responsibility for Work, Conduct or Payment

4.1 Work quality, attendance and conduct
To the fullest extent permitted by law, TradeFinder accepts no responsibility and shall have no liability for:

• any act or omission of a Tradesperson or Hiring Manager;
• any failure by a Tradesperson to attend, to complete work, to complete work on time or to perform to any particular standard;
• any negligent, sub-standard or defective work;
• any damage to property, personal injury or loss caused by a Tradesperson or Hiring Manager;
• any disputes between Hiring Managers and Tradespeople, including (without limitation) disputes about quality of work, delays, scope of work or behaviour.

Any such issues are strictly matters between the Hiring Manager and Tradesperson.

4.2 Wages, fees and other payments

• TradeFinder is not responsible for payment of any wages, fees, expenses or other sums owed by a Hiring Manager to a Tradesperson; or collecting, holding or transferring money between Users, unless explicitly provided as part of a separate payment service described in writing.
• Any agreement regarding price, payment terms, deposits, staged payments, late payment or non-payment is solely between the Hiring Manager and Tradesperson.
• TradeFinder shall not be liable for any non-payment, late payment, underpayment or disputed payment by a Hiring Manager or any loss suffered by a Tradesperson as a result.

4.3 Employment status, tax and legal obligations

• TradeFinder does not determine whether any engagement amounts to employment, self-employment, worker status or any other status; or whether PAYE, National Insurance, VAT or other taxes are payable.
• Each User is solely responsible for ensuring that they comply with all applicable tax, employment and other legal obligations; appropriate contracts are in place between Hiring Managers and Tradespeople; and any required insurance cover is arranged.

TradeFinder shall have no responsibility or liability for any failure by any User to meet these obligations.

5. User Responsibilities

• You agree to provide true, accurate and complete information when creating an account or posting any Content, and to keep such information up to date.
• You agree not to impersonate any other person or misrepresent your identity, qualifications, experience, right to work or authority.
• You agree to comply with all applicable laws and regulations when using the Platform and when engaging or being engaged for work.
• You are responsible for maintaining the confidentiality and security of your login details and all activity carried out under your account. If you suspect unauthorised use of your account, you must notify us promptly.

6. Acceptable Use

• You must not use the Platform to post or transmit any material that is unlawful, defamatory, obscene, discriminatory, offensive, threatening or otherwise objectionable.
• You must not post misleading, false or inaccurate information.
• You must not upload viruses, malware or any code that may impair the operation of the Platform or any other system.
• You must not data mine, scrape, harvest or otherwise collect information from the Platform by automated means, except as permitted by us in writing.
• You must use the Platform only for genuine recruitment or offering of trade services.

We may remove any Content or suspend/terminate any account that we consider (in our sole discretion) to be in breach of these Terms or otherwise inappropriate.

7. Intellectual Property

• All intellectual property rights in the Platform and its underlying software, design and content (excluding User Content) are owned by us or our licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for its intended purposes in accordance with these Terms.
• By uploading or submitting Content, you grant TradeFinder a worldwide, non-exclusive, royalty-free licence to use, store, reproduce, modify, display and distribute such Content on the Platform for the purpose of providing and promoting our services; and confirm that you have all necessary rights and permissions to grant this licence.
• You must not copy, reproduce, distribute, modify or create derivative works from any part of the Platform (other than your own Content) without our prior written consent.

8. Disclaimers

• The Platform and all information made available through it are provided on an "as is" and "as available" basis.
• We do not warrant that the Platform will be uninterrupted, error-free or secure; any defects will be corrected; the Platform or any Content will be accurate, complete, current or suitable for your purposes; or any particular number or quality of Hiring Managers or Tradespeople will use the Platform.
• All conditions, warranties and other terms which might otherwise be implied by statute or common law are, to the fullest extent permitted by law, excluded.

9. Limitation of Liability

• Nothing in these Terms limits or excludes TradeFinder's liability for death or personal injury resulting from our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be limited or excluded under applicable law.
• Subject to the above, we shall not be liable to any User, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profits, revenue or income; loss of business, contracts or opportunities; loss of anticipated savings; loss of or damage to reputation or goodwill; loss or corruption of data; or indirect or consequential loss or damage, arising out of or in connection with your use of (or inability to use) the Platform or any relationship between Hiring Managers and Tradespeople.
• Subject to the above, our total aggregate liability to you in respect of all claims arising out of or in connection with the Platform and these Terms (whether in contract, tort, breach of statutory duty or otherwise) shall be limited to the greater of: (a) the total fees actually paid by you to TradeFinder in the 12 months immediately preceding the event giving rise to the claim; or (b) £100. (You should confirm with your solicitor whether these caps are appropriate for your business.)

10. Indemnity

You agree to indemnify and keep indemnified TradeFinder, its officers, employees and agents against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with: your use of the Platform; any engagement or relationship between you and another User; any breach by you of these Terms; or any claim that your Content infringes the rights of any third party or breaches applicable law.

11. Suspension and Termination

• We may, at any time and without liability to you, suspend or terminate your access to the Platform and/or any account you hold, if we reasonably believe that you have breached these Terms, acted unlawfully, or that your continued use of the Platform may expose us or other Users to risk.
• You may stop using the Platform and close your account at any time by following the instructions on the Platform or by contacting us.
• Any provisions of these Terms which expressly or by implication are intended to come into or continue in force on or after termination shall remain in full force and effect, including (without limitation) clauses 3, 4, 7, 8, 9, 10 and 13.

12. Changes to the Platform and These Terms

• We may update or change the Platform from time to time, including to add, remove or modify features.
• We may amend these Terms from time to time. The updated Terms will be posted on the Platform with a revised "Last updated" date. Where changes are material, we may also notify you by email or via the Platform.
• Your continued use of the Platform after the updated Terms are posted constitutes your acceptance of those changes. If you do not agree to the changes, you must stop using the Platform.

13. General

• Entire agreement: These Terms set out the entire agreement between you and TradeFinder regarding your use of the Platform and supersede any prior agreements, understandings or arrangements.
• Severability: If any provision of these Terms is held to be invalid, unlawful or unenforceable by a court of competent jurisdiction, that provision shall be deemed deleted, and the remaining provisions shall continue in full force and effect.
• No waiver: Any failure or delay by us in exercising any right or remedy under these Terms shall not constitute a waiver of that or any other right or remedy.
• Assignment: You may not assign, transfer or subcontract any of your rights or obligations under these Terms without our prior written consent. We may transfer our rights and obligations under these Terms to another organisation, but this will not affect your rights under these Terms.
• Third-party rights: These Terms are not intended to give rights to anyone other than you and TradeFinder, and no third party shall have any rights to enforce any of these Terms under the Contracts (Rights of Third Parties) Act 1999.
• Governing law and jurisdiction: These Terms, and any non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.
